Please consult with an advisor competent on partnership laws for your 
jurisdiction. This isn't the sort of advice we can give you. That your 
and your partner's intent that this be considered a loan might or might 
not matter. It is quite likely that it would NOT be considered a loan of 
the same standing as one made to an entity outside the partnership.
